Terms of service

1. Definitions

1.1 "Agreement" means these Terms of Service.

1.2 "Service" means Affluent's hosted software-as-a-service platform, including all current features and any future updates.

1.3 "Customer" means the individual or entity who accepts this Agreement and uses the Service.

1.4 "Subscription" means the selected Service plan (Individual, Advisor, Employer), including any applicable trial period and associated fees.

1.5 "Free trial" means the 14-day trial period during which Customer may access the Service at no charge.

2. Acceptance of terms

Customer's subscription to a paid plan or continued use of the Service after the Free Trial constitutes acceptance of this Agreement.

3. Free trial

3.1 Trial period: New Customers receive a 14-day Free Trial.

3.2 Automatic conversion: Unless canceled before the trial ends, the Subscription converts to the chosen paid plan and Customer's payment method on file will be charged.

3.3 Cancellation during trial: Customer may cancel at any time during the Free Trial without charge; upon cancellation, access to the Service ends at the end of the trial period.

4. Service license & access

4.1 License grant: Subject to payment and compliance, Customer is granted a non-exclusive, non-transferable right to access and use the Service.

4.2 Account credentials: Customer is responsible for safeguarding login credentials and for all activities under the account.

5. Fees, billing & cancellation

5.1 Subscription fees: Customer will pay the fees for the chosen plan as displayed on the Pricing page.

  • Individual plan: Fees include applicable VAT.
  • Advisor plan: Fees are quoted excluding VAT; VAT and other taxes will be added where required.

5.2 Billing cycle: Fees recur monthly on the effective Subscription date.

5.3 Disputed charges: Any billing disputes must be submitted in writing within 10 days of invoice date, or the charge is deemed accepted.

5.4 Cancellation & access: Customer may cancel at any time via their account settings. Access continues until the end of the current billing period. No refunds for partial periods.

5.5 Late payments: Overdue amounts may result in suspension of Service until payment is received; Elixir SAS reserves the right to terminate for non-payment.

6. Term & termination

6.1 Initial term: Each paid Subscription term is one month, commencing on the date of first payment.

6.2 Renewal: Subscriptions auto-renew monthly unless canceled before the renewal date.

6.3 Termination: Either party may terminate immediately by written notice; Customer remains responsible for all fees accrued through termination date.

7. Customer data & privacy

7.1 Ownership: Customer retains all rights to data uploaded to the Service.

7.2 Data use: We process personal data solely to provide and improve the Service in accordance with our Privacy policy.

8. No financial advice disclaimer

Elixir SAS is not a licensed financial advisor or broker-dealer and does not provide investment, tax, legal, or other regulated advice. All information in the Service is for informational purposes only. Customers should consult qualified professionals before making any decisions.

9. Support & service levels

9.1 Standard support: Email, Intercom, and Discord support during business hours (CET).

9.2 Downtime remedy: If Customer experiences multiple unplanned downtimes in a billing cycle, Customer may request a one-time credit equal to 50% of one monthly subscription fee.

10. Proprietary rights

10.1 All software, source code, and any improvements remain the sole property of Elixir SAS.

10.2 Feedback: Customer grants Elixir SAS a royalty-free, perpetual license to use any feedback or suggestions provided.

11. Warranties & disclaimers

11.1 Limited warranty: The Service will materially conform to its publicly available feature descriptions.

11.2 Disclaimer: EXCEPT AS EXPRESSLY STATED, THE SERVICE IS PROVIDED "AS IS," WITHOUT WARRANTIES OF ANY KIND.

12. Limitation of liability

Elixir SAS's aggregate liability for any claim shall not exceed the total fees paid by Customer in the six months preceding the claim.

13. Indemnification

Customer will indemnify and hold Elixir SAS harmless against third-party claims arising from Customer's use of the Service or breach of this Agreement.

14. Governing law & Dispute resolution

This Agreement is governed by the laws of France. Any dispute shall be brought exclusively in the courts of Paris.

15. Amendments

Elixir SAS may update these terms by posting a revised version. Changes become effective upon posting; continued use constitutes acceptance.

16. Entire agreement & severability

This Agreement constitutes the entire agreement between the parties. If any provision is held invalid, the remainder will continue in full force and effect.
